1. Who we are

WavArtist is a software service based in Kathmandu, Nepal.

In these Terms, “WavArtist”, “we”, “us” and “our” refer to WavArtist. “You” refers to the person or business who creates an account or purchases a subscription.

By creating an account or purchasing a subscription, you agree to these Terms.

2. Definitions

• Platform : the WavArtist software, including the artist dashboard, the hosted artist website builder, and all related tools.
• Artist : a subscriber who pays for access to the Platform.
• Artist Site : the public website generated for an Artist at a subdomain of wavartist.com (for example, yourname.wavartist.com).
• Listener : a visitor who creates a free account to browse or purchase from an Artist Site.
• Subscription : the paid, recurring right to use the Platform.

3. What the Subscription is

The Subscription is a licence to use software. When you subscribe, you receive access to a hosted software product for the duration of your billing period. You are not purchasing goods, an agency service, a promotion service, or a guarantee of any commercial result.

The Subscription includes:

• An artist dashboard for managing your catalogue, merchandise listings, tour listings and orders
• A hosted public Artist Site on a wavartist.com subdomain, with SSL
• Media hosting for your audio, artwork and images
• Release management for singles, EPs and albums, including pre-order and scheduled-release tools
• Merchandise and tour listing tools, including order records and status tracking
• A listener account system and streaming player on your Artist Site
• Analytics and order reporting inside your dashboard
• Product updates and improvements released during your subscription period

We may add, change or remove individual features as the Platform develops. We will not materially reduce the core functionality described above during a billing period you have already paid for.

4. Pricing, billing and renewal

Subscription pricing is shown on our pricing page at https://wavartist.com. Current plans are billed monthly or annually.

• Payments for the Subscription are processed by Paddle.com Market Ltd, who act as the merchant of record and the authorised reseller of our software. Paddle handles the checkout, invoicing, applicable taxes, and any refunds.
• Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
• You may cancel at any time from your dashboard or by emailing us. On cancellation, your Subscription remains active until the end of the period you have already paid for, and does not renew after that.
• Prices may change. We will give at least 30 days’ notice before a price change affects your renewal.
• Refunds are governed by our Refund Policy.

5. Transactions between Artists and Listeners

This is important, and it is a core part of how WavArtist works.

WavArtist is a software tool that Artists use to run their own business. WavArtist does not sell music, merchandise or tickets, does not act as a marketplace or intermediary for those sales, and does not process, hold, collect or route any money for them.

Specifically:

• Any purchase a Listener makes from an Artist Site a track, an EP, an album, merchandise or a tour ticket is a transaction directly between that Listener and that Artist.
• Those payments are settled directly between Listener and Artist using the Artist’s own payment details (for example a bank or wallet QR code). They do not pass through WavArtist, and they do not pass through Paddle.
• WavArtist takes no commission, fee or revenue share from these transactions.
• The Artist alone is responsible for confirming payment, delivering digital goods, shipping physical merchandise, honouring tickets, handling their own customer’s refunds and disputes, and meeting all tax, consumer-protection and other legal obligations that apply to their sales.

WavArtist is not a party to those transactions and accepts no liability arising from them.

The only payment WavArtist charges for, and the only payment processed by Paddle, is the Artist’s Subscription to the software.

6. Your account

You must be at least 16 years old to create an account. You are responsible for keeping your login credentials secure and for all activity under your account. Tell us promptly at wavartistz@gmail.com if you believe your account has been compromised.

Each Artist Site subdomain is unique and allocated on a first-come basis. We may reclaim a subdomain that is unused after an account has been cancelled, or that infringes a third party’s name or trademark.

7. Your content

You keep all ownership of the music, artwork, images, text and other material you upload (“Your Content”).

You grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, encode and display Your Content, strictly for the purpose of operating the Platform and delivering your Artist Site to your audience. This licence ends when you delete the content or your account, except for backups that expire on our normal retention schedule.

You confirm that you own or have all necessary rights to Your Content, including rights to any samples, features, session contributions, artwork and photography, and that it does not infringe anyone else’s rights.

8. Acceptable use

You agree not to use the Platform to upload, sell or distribute anything that:

• infringes copyright, trademark or any other right;
• is unlawful under the laws of Nepal or any country where your audience is located;
• is sexually explicit, hateful, harassing, or promotes violence;
• contains malware or is used to attack, probe or overload our systems or anyone else’s;
• misrepresents who you are, or impersonates another artist or brand;
• is used for fraudulent transactions, money laundering, or to route payments for an unrelated business.

You also agree not to resell, sublicense or white-label the Platform itself to third parties without our written agreement.

9. Suspension and termination

We may suspend or terminate an account that breaches these Terms, that creates legal or security risk for us or for other users, or where payment fails and is not resolved.

Where the breach is not serious, we will normally contact you first and give you a reasonable chance to fix it.

If your Subscription ends for any reason:

• Your Artist Site is taken offline and your subdomain stops resolving.
• Your dashboard data and uploaded files are retained for 30 days, during which you may reactivate or request an export.
• After 30 days we may permanently delete your content and account data.

You may close your account at any time.

10. Availability and support

We aim to keep the Platform available and working, but we do not guarantee uninterrupted or error-free service. Maintenance, third-party outages, and issues outside our control can cause downtime.

Support is provided by email at wavartistz@gmail.com. We aim to respond within 2 business days.

11. Disclaimers and limitation of liability

The Platform is provided “as is”. To the fullest extent permitted by law, we exclude all implied warranties, including any warranty of merchantability or fitness for a particular purpose.

We are not liable for lost profits, lost revenue, lost sales, lost data, or any indirect or consequential loss.

Our total liability to you for any claim relating to the Platform is limited to the amount you paid us in Subscription fees in the 12 months before the claim arose.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

12. Changes to these Terms

We may update these Terms. If a change materially affects your rights, we will give notice by email or in your dashboard at least 30 days before it takes effect. Continuing to use the Platform after that date means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of Nepal. Any dispute will be subject to the exclusive jurisdiction of the courts of Kathmandu, Nepal.
